Straight from the SEC.
Each company’s recent Form 4 filings are read from SEC EDGAR and every transaction coded P (open-market purchase) or S (open-market sale) in the common stock table is kept. Value is shares times the reported price per share.
Two dates are shown because they differ. The trade date is when the shares changed hands. The filing date is when the report reached the SEC, which can be up to two business days later.
What it does not tell you: why the insider traded. Many sales are scheduled in advance under a Rule 10b5-1 plan or cover taxes and diversification, and a filing says nothing about where the stock goes next.
